1. Agreement to Terms

By accessing optonerds.com or purchasing any of our services, you agree to be bound by these Terms of Service. If you do not agree, please do not use our website or services.

2. Who We Are

3. Our Services

We offer the following services:

• One-Time Optimization — a single engagement in which we audit and optimize your WordPress site for performance
• Ongoing Performance Monitoring — a monthly subscription in which we monitor and re-optimize your site on a recurring basis
• Agency White-Label — a custom arrangement for agencies requiring optimization services for multiple client sites

The specific scope of work for each engagement will be confirmed prior to commencement of services.

4. What We Need From You

To perform our services, you agree to provide us with:

• WordPress admin access or equivalent credentials
• Hosting account access if required
• Accurate information about your site, plugins, and any known technical constraints
• Timely responses to our communications

Failure to provide necessary access or information may delay delivery or affect the results we are able to achieve.

5. Results and Expectations

We will make every effort to improve your site's PageSpeed and Core Web Vitals scores. However, we do not guarantee specific scores or outcomes. Results vary depending on factors including but not limited to:

• Your hosting environment and server performance
• Your theme and plugin stack
• Third-party scripts outside our control (ads, chat widgets, tracking pixels, etc.)
• The baseline condition of your site

We will always provide a before-and-after report documenting the improvements made.

6. Payment

All payments are processed securely through Stripe or PayPal. By purchasing a service, you authorize us to charge the applicable fee.

• One-time services are billed in full at the time of purchase
• Monthly subscriptions are billed on a recurring basis on the same date each month
• All prices are listed in US dollars
• We reserve the right to change our pricing at any time, with reasonable notice to existing subscribers

7. Refund Policy

Due to the nature of our work, we operate under the following refund policy:

• If we have not yet begun work on your site, you are entitled to a full refund upon request
• If work has commenced, refunds are issued at our discretion based on the scope of work completed
• Monthly subscription fees are non-refundable once a billing cycle has begun
• We do not offer refunds based on score outcomes alone, as results depend on factors outside our control

If you are unhappy with your results, contact us at billing@optonerds.com and we will do our best to make it right.

8. Subscriptions and Cancellation

Monthly subscriptions renew automatically unless cancelled. You may cancel your subscription at any time by contacting us at billing@optonerds.com. Cancellations take effect at the end of the current billing period. You will not be charged for the following month after cancellation is confirmed.

9. Your Responsibilities

You represent and warrant that:

• You own or have the legal authority to grant us access to the WordPress site in question
• You have a current backup of your site before we begin work
• You will not hold us liable for pre-existing issues unrelated to our optimization work
• You will not resell or misrepresent our services as your own without a white-label agreement in place

10. Backups

We strongly recommend maintaining a full backup of your site before any optimization work begins. While we take every precaution, we are not responsible for data loss, plugin conflicts, or site downtime that may occur during or after our work. The responsibility for maintaining backups rests with you.

11. Intellectual Property

All content on optonerds.com — including text, graphics, logos, and code — is the property of OptoNerds and may not be reproduced, copied, or distributed without our written permission. Any tools, scripts, or processes we use to perform our services remain our intellectual property.

12. Confidentiality

We treat all client site credentials and business information as strictly confidential. We will not share your login details, site data, or business information with any third party except as required to deliver our services or comply with the law. We delete credentials from our systems upon project completion.

13. Limitation of Liability

To the fullest extent permitted by law, OptoNerds shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services, including but not limited to lost revenue, lost data, or site downtime. Our total liability to you for any claim arising from our services shall not exceed the amount you paid us in the 30 days preceding the claim.

14. Indemnification

You agree to indemnify and hold OptoNerds harmless from any claims, damages, losses, or expenses — including reasonable legal fees — arising from your use of our services, your breach of these terms, or your violation of any third-party rights.

15. Governing Law

These Terms of Service are governed by the laws of the State of Missouri, United States, without regard to its conflict of law provisions. Any disputes arising from these terms shall be resolved in the courts of Missouri.

16. Changes to These Terms

We reserve the right to update these Terms of Service at any time. When we do, we will update the "last updated" date at the top of this page. Continued use of our services after changes are posted constitutes your acceptance of the revised terms.
